1. NAME The name of the Association shall be the Katesgrove Residents' Association
2. OBJECTS The objects of the Association shall be:-
(a). To foster interest in preserving the character of Katesgrove.
(b). To support the rights and interests of residents.
3. MEMBERSHIP Membership of the Association shall be open, irrespective of political party, nationality, religious opinion, race, colour, age or sex, to:-
(a). All persons living in Katesgrove ward and, by Invitation, persons living in the immediately adjoining areas, who shall be called Ordinary Members. Ordinary Members shall have the right to vote at General Meetings.
(b). All voluntary organisations and societies, traders and industry functioning In Katesgrove ward, who shall be called Corporate Members. Corporate Members shall not be permitted to vote at General Meetings.
(c). All well-wishers not eligible to be Ordinary Members, who shall be called Associate Members. Associate Members shall not be permitted to vote at General Meetings.
4. SUBSCRIPTIONS The maximum rate of subscription for each kind of membership shall be determined by resolution of a General Meeting.
5. GENERAL COMMITTEE
(a). A General Committee shall be elected to hold office annually at each Annual General Meeting of the Association.
(b). The committee shall be composed of Ordinary Members to a maximum of fifteen persons.
(c). All members of the General Committee will retire annually and will be eligible for re-election.
(d). If vacancies occur among members of the committee they may be filled by the committee and be confirmed at the next General Meeting.
(e). The functions of the General Committee shall be to appoint an Executive Committee and other sub-committees as necessary, to convene public meetings and inform residents on matters relating to the objects of the Association.
(f). All committees appointed by the General Committee shall be responsible to the General. Committee.
(g). Not less than five General Committee members, one of whom must be an Executive Committee member, shall be required to form a quorum for any meeting of the General Committee.
(h). The General Committee shall meet not less than once in each quarter of each year.
6. EXECUTIVE COMMITTEE
(a). The Executive Committee shall be appointed annually by the General Committee.
(b). Members of the Executive Committee shall be drawn from the General Committee.
(c). The Executive Committee shall be composed of a Chairperson, Vice-Chairperson, Hon. Treasurer, Hon. Secretary and other officers as required.
(d). No Executive Officer shall hold the same office for more than two consecutive years.
(e). The functions of the committee shall be to carry out the day-to-day business of the Association and to serve as officers on the General Committee.
7. PROCEDURES The General Committee and the Executive Committee shall have power to determine their procedures as necessary.
8. ELECTIONS
(a). The General Committee shall appoint an Elections Officer, who shall not be an Ordinary Member of the Association, to supervise the elections.
(b). The elections procedure shall have been determined by the Elections Officer In consultation with the General Committee.
(c). The Elections Officer must declare the number of votes cast for each candidate at the end of the Annual General Meeting or at the completion of the count of votes, whichever is the later.
9. ANNUAL GENERAL MEETING The Annual General Meeting of the Association shall normally be held during the month of March in each year to receive the annual report of the General Committee, the annual, audited statement of accounts, to elect the General Committee and to deal with such other business of which notice has been given in writing to the Hon. Secretary and which appears on the notice convening the meeting.
10. SPECIAL GENERAL MEETING A Special General Meeting of members shall be called at the Instance of the General Committee or on the written requisition to the Hon. Secretary signed by not less than 25 members who shall state the purpose of the meeting. Notice of such Special General Meetings shall be given to members not more than one calendar month after the delivery of the requisition.
11. QUORUM Not less than twenty Ordinary Members shall be required to form a quorum for any General Meeting.
12. NOTICE OF GENERAL MEETINGS Ten days notice of any General Meeting shall be given to members.
13. CONSTITUTION Additions or amendments to this constitution must receive the assent of not less than two-thirds majority of those voting at a General Meeting.
14. DISSOLUTION In the event of the Association being disbanded the members present at the final meeting shall hand all documents to the care of the Local Authority. Any funds remaining with the Association shall be transferred to an association whose objects are reasonably similar.

This constitution was adopted as the amended constitution of the Katesgrove Residents' Association at its Annual General Meeting held at St Giles' Hall, Southampton Street on Tuesday 7th April 1981.
